How to read original insider Form 4 disclosures
Follow an exact filing through its reported events and holdings to the original explanations.
Choose an original filing
Insider filings automatically reads the default issuer’s actual filing. Find another supported identity by name, symbol or CIK and open its latest or exact filing. Search does not read all 30 issuers. The symbol/name/CIK association is a dated catalogue rather than a current-listing claim; the original filing name and symbol remain separate. A 4/A amendment stays separate with its original filing date; the application does not automatically merge it with an older report.
Read the event by its original code
Read the code together with the acquisition/disposition direction. P/S cover market and private purchases/sales; awards, option exercises, tax settlement and gifts have their own codes. Original prices, including zero, retain their explanatory footnotes.
Inspect both security tables
The combined ledger retains transactions and separately reported holdings for non-derivative and derivative securities. A holding without a transaction date remains undated. A supplied empty table and an absent table stay distinct.
Open every footnote and reporting owner
A row detail shows original values, direction and ownership form, including footnotes attached to individual fields and row sections. Reporting owners and their issuer relationships belong to the whole filing; a joint filing alone does not assign every row to a specific owner.
Inspect clocks and download the whole
Event date, report period, original-submission date, SEC acceptance and document capture are separate clocks. Search, sorting and pagination change presentation; whole JSON/CSV retains every original row, footnote, source and applied result manifest.
The example uses fictional identities
An unavailable actual filing stays unavailable. No fictional owner, transaction or zero report replaces it.
